I just finished converting a music video from mpeg2 to H.264 using Nero Recode 2.2.6.17.
File size went from 53.1MB to 15.5MB. Video looks great!
You have to select the "Portable AVC" profile. AVC is MPEG-4 H.264 format. I did resize from 352x288 to 320x240.
3min. 45sec. video transcoded in about 4 minutes on a P4 2.6GHZ machine.
UPDATE:
I tried to play the converted video in the iPod and it couldn't play even though it does play in quicktime and in iTunes. I had to do the "PSP" profile (which is regular MPEG-4) and it works fine, although the filesize is now 22mb.
